Terms of Service

1. Acceptance of these terms

These Terms of Service (“Terms”) govern your access to and use of JhaX (“JhaX”, “we”, “us”), an AI operations assistant for restaurants and small businesses. By creating an account, connecting a third-party service, or otherwise using JhaX, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use JhaX.

2. The service

JhaX connects to the business systems you authorize — such as your point of sale and your QuickBooks Online accounting — reads data from them, and provides dashboards, reports, document processing, and an AI assistant that answers questions and can take actions you confirm. Features may change, be added, or be removed over time.

3. Eligibility and your account

You must be at least 18 and able to form a binding contract. You are responsible for the activity under your account and for keeping your login and PIN secure. Provide accurate information and keep it current. You must have authority to connect any business account you link to JhaX.

4. Connected third-party services

When you connect a service such as QuickBooks Online (Intuit), you authorize JhaX to access that service on your behalf for the purposes described in our Privacy Policy. You remain the owner of your accounts and data.

• Your use of a connected service is also governed by that provider’s own terms (for example, Intuit’s terms for QuickBooks). We are not responsible for third-party services or their availability.
• JhaX creates records in QuickBooks (such as bills, vendors, customers and invoices) only when you explicitly confirm the action. You are responsible for reviewing records before you confirm them and for their accuracy in your books.
• You can disconnect a service at any time; doing so stops further access.

5. Acceptable use

You agree not to:

• use JhaX for any unlawful, fraudulent or harmful purpose;
• access data or accounts you are not authorized to access;
• attempt to disrupt, reverse-engineer, or gain unauthorized access to the service or its infrastructure;
• resell or misrepresent the service, or violate any third-party provider’s terms through your use of JhaX.

6. AI-generated content

JhaX uses automated AI models to summarize data, generate insights, and read documents. AI output can be incomplete or incorrect and is provided for informational purposes only. It is not financial, accounting, tax, or legal advice. You are responsible for reviewing and verifying any figures, records, or recommendations before relying on them or confirming an action such as a QuickBooks sync.

7. Intellectual property

JhaX and its software, design and content are owned by us and our licensors and are protected by law. We grant you a limited, non-exclusive, non-transferable right to use JhaX for your business. Your business data remains yours; you grant us the permissions needed to operate the service for you as described in the Privacy Policy.

8. Fees

Where a plan or fees apply, they will be disclosed to you before you incur them. Any free or trial access may be changed or ended at our discretion.

9. Disclaimer of warranties

JhaX is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that AI output or synced records will be accurate.

10. Limitation of liability

To the maximum extent permitted by law, JhaX and its providers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, data, or goodwill, arising from your use of the service. Our total liability for any claim relating to the service will not exceed the amount you paid us for the service in the twelve months before the claim (or, if you paid nothing, USD $100).

11. Indemnification

You agree to indemnify and hold JhaX harmless from claims arising out of your use of the service, your data, or your violation of these Terms or of any third-party provider’s terms.

12. Termination

You may stop using JhaX and delete your account at any time. We may suspend or terminate access if you violate these Terms or to protect the service. On termination, the access granted here ends; sections that by their nature should survive (such as ownership, disclaimers, and limitation of liability) will survive.

13. Changes to these terms

We may update these Terms from time to time. When we do, we will revise the “Effective” date above and, for material changes, provide additional notice. Continued use after changes take effect means you accept the updated Terms.
